Terms for Free Offerings

These terms govern Beliq's free offerings. The provider is Tobias Satzger, c/o IP-Management #10800, Ludwig-Erhard-Str. 18, 20459 Hamburg, Germany (we, us). This is a translation of the German Nutzungsbedingungen für kostenlose Angebote, which is the original and the binding version (see Section 11.4).

1. Scope

These terms apply to

• the invoice generator and the API playground on beliq.eu, which can be used without an account and without registering, and
• the free plan, which requires an account.

Our Terms of Service apply to the free plan in addition. Where they conflict, these terms take precedence over the provisions of the Terms of Service on availability, warranty, liability and termination. The Acceptable Use Policy applies to every offering named here.

2. Legal nature and absence of charge

We provide these offerings free of charge. You owe no consideration for them, including in the form of data. We reserve no fee and no later billing for their use.

By providing a working tool we enter into an obligation towards you, even where you create no account. The statutory rules on providing something free of charge apply to that obligation, in particular Sections 516 ff. BGB (gift) and Sections 598 ff. BGB (loan for use). Sections 6 and 7 below follow from them.

3. Use without an account

The invoice generator and the API playground are open to anyone, including consumers within the meaning of Section 13 BGB. No account, registration or payment details are required, and no paid contract comes about.

Both tools are meant for trying Beliq out and for one-off operations. They are subject to a usage limit and to technical abuse protection. For automated or recurring use, the API with an account is the intended route.

4. The free plan

The free plan requires an account. Under Section 1.3 of the Terms of Service, registration is open only to businesses within the meaning of Section 14 BGB. The plan includes a monthly document quota and a rate limit; the applicable figures follow from the pricing overview on beliq.eu.

Using several accounts to circumvent the quota is not permitted (see the Acceptable Use Policy).

5. Availability and changes

We give no availability commitment for the free offerings. The 99.5 % availability under Section 4.1 of the Terms of Service does not apply to them.

We may change the features and quotas of the free offerings and may discontinue them. We announce the discontinuation of the free plan, or a significant reduction of its quota, to registered users at least 30 days in advance in text form. The invoice generator and the API playground may be changed or switched off without prior notice.

6. Warranty

For defects in title and quality of the free offerings we are liable under Sections 523 and 524 BGB and Section 600 BGB only where we fraudulently concealed a defect.

Validation and generation results from the free offerings are not tax, accounting or legal advice. Whether a generated document meets the requirements of your recipient or of a national authority is for you to check.

7. Liability

For the free offerings we are responsible only for intent and gross negligence, under Section 521 BGB and Section 599 BGB. We are not liable for ordinary or slight negligence.

This does not affect our liability for injury to life, body or health, to the extent of a guarantee we have given, for fraudulent concealment of a defect, or under the German Product Liability Act and other mandatory statutory provisions.

This section also operates in favour of our legal representatives, staff and vicarious agents. As soon as you use a paid plan, Section 9 of the Terms of Service applies to it.

8. Your obligations

The Acceptable Use Policy applies. Beyond it, you undertake

• not to circumvent the usage limits and abuse protection of the free offerings,
• not to submit content in which you lack the necessary rights,
• not to offer the free offerings as part of a paid service of your own.

In the event of a breach we may block access to the free offerings.

9. Data processing

Input in the invoice generator and the API playground is sent to our API for processing, processed there in memory and not stored persistently. Our Privacy Policy describes the data we process in doing so and in operating the website. Do not submit personal data of third parties to the free offerings where you need a data processing agreement for it; the API with an account and the Data Processing Agreement is the intended route for that.

10. Ending use

You can stop using the invoice generator and the API playground at any time by leaving the page. You can end the free plan at any time by deleting your account. We may discontinue the offerings under Section 5 and block access under Section 8.

11. Final provisions

11.1 Governing law

German law applies. If you are a consumer, the mandatory consumer protection provisions of the country of your habitual residence remain unaffected.

11.2 Jurisdiction

Towards businesses, the place of jurisdiction under Section 14.2 of the Terms of Service applies. Towards consumers, the statutory rules on jurisdiction apply.

11.3 Severability

If a provision of these terms is or becomes invalid, the validity of the remaining provisions is unaffected. The statutory provisions take the place of the invalid provision.

11.4 Language version

These terms were drafted in German. This English version is for information only; in the event of discrepancies the German version prevails.
